Terms of Service

These terms govern your use of the B-MGMT application and of setup, custom build, consultation and training services provided by Brittain Schiele trading as WNC Business Keeper ("we", "us"), of Asheville, North Carolina.
1. What the service is
WNC Business Keeper provides bookkeeping, marketing, web design, small-business setup, and AI consultation and training, together with B-MGMT — our bookkeeping, document filing and business-administration software. The software proposes actions and records them; a human approves them. It does not act on your behalf without that approval.
2. What the service is not
We are not attorneys, accountants or tax advisers, and nothing produced by the software or by us is legal, tax or accounting advice. The software is deliberately built to decline questions of that kind and to tell you to take them to a professional. Decisions about your business entity, worker classification, contracts, or how to respond to a tax or labour authority are yours to make with appropriately licensed advisers. We will help you assemble the facts; we will not tell you what to do with them.
3. Your data is yours
You retain all rights to the records you put into the service. We claim no ownership of them and do not use them to train models or for any purpose other than providing the service to you. See the Privacy Policy.
4. Your account
You are responsible for keeping your credentials secure and for what happens under your account. Tell us promptly if you believe it has been accessed by someone else.
5. Acceptable use
Do not use the service to break the law, to store data you have no right to hold, to attempt to reach another customer's records, or to disrupt the service for others.
6. Connected services
Where you connect a third-party service, you authorise us to access it on the terms you approve, and your use of that service remains governed by its own agreement with you. We read from connected accounting systems and do not write to them. You may disconnect at any time.
7. Fees
Fees for professional services are agreed in writing before work begins. Fees for the application, where charged, are as stated at the time you subscribe. We will not change what you pay without telling you in advance.
8. Availability
We aim to keep the service available and will tell you about planned interruptions. We do not guarantee uninterrupted availability, and you should keep your own copies of anything you cannot afford to be without.
9. Ending the agreement
You may stop using the service and close your account at any time. We may end this agreement if these terms are breached, with notice and an opportunity to put it right where the circumstances allow. On termination you can export your data — see the Privacy Policy.
10. Warranties
We provide the service with reasonable care and skill. Beyond that, and to the extent the law permits, the software is provided as it is. The software is a tool that assists you in keeping your records; it does not replace your own review of them, and you remain responsible for what you approve.
11. About the AI, plainly
Parts of this software use artificial intelligence — to read a receipt, to suggest which account a transaction belongs to, to answer a question about your records. AI gets things wrong. It can be confidently wrong, which is worse, and it will be wrong sometimes no matter how carefully the software is built.
That is why the software proposes rather than acts: a suggestion sits in a queue until a person approves it, every figure it states is traced to a record it read, and it is built to refuse a question it cannot answer from a source rather than guess at one. Those are real protections and they are not a guarantee.
Check the work before you rely on it. Anything going to a tax authority, a lender, an insurer or a court should be reviewed by a suitably qualified person first. If you act on something the software suggested and it turns out to be wrong, that is not something we can be responsible for — and we would rather say so here than have you discover it at a bad moment. We keep an auditable record of what was proposed, by what, and who approved it, so a mistake can at least be traced and corrected.
12. Governing law
These terms are governed by the laws of the State of North Carolina, and any dispute will be brought in the state or federal courts located in North Carolina.
13. Changes
We will notify account holders by email before any material change takes effect. Continuing to use the service after that date means the revised terms apply.
